General trading conditions
1. General information
GVB-SPES BVoffers it´s products exclusively for companies. Sale at private-persons are impossible. The following trading conditions are binding for both partners. Each modification requires the written acknowledgement by GVB-SPES BV
2. Offers
All offers are not-binding and become only by a written order confirmation by GVB-SPES BV
3. Orders
GVB-SPES BV reserves itself to also refuse without to reason a offer to explain or the resignation. This applies in particular, if a financial risk exists for GVB-SPES BV. In case of a order cancellation, GVB-SPES BV reserves the calculation of the cancellation costs thereby with 20% of the order value, at least 15,- €. For the delivery obligation of GVB-SPES BV the written order confirmation is determined.
4. Prices
All prices are in Euro and per offered sales unit and without eventually general taxes. Shipping costs and Freight and packing costs are charged for proportionately or depending upon declaration/agreement
5. Retention of title
The commodity remains up to the complete fulfilment of all requirements of GVB-SPES BV against the orderer, property of GVB-SPES BV. Upon a resale in the normal course of business the orderer retires his demands against the buyer on GVB-SPES BV.
6. Delivery times
The supply takes place usually at short notice (within 24 hours) from stock. Partial deliveries remain reserving. Otherwise the dates of delivery assured with the order confirmation apply.
7. Payment conditions
A prepayment is requested before the products will be delivered.
8. Liability and lack
A case of guarantee entitled the orderer not to hurt its contract obligation. Lack must be given within 7 days after incoming goods in writing admit. The liability does not refer to the wear of the product. A requirement on a transformation of the product does not exist for the orderer. The warranty for all accessory products amounts to 3 months. With entitled and within the prescribed period announced lack GVB-SPES BV. Carries back-up out or improves the product.
9. Area of jurisdiction
Exclusive area of jurisdiction is the company headquarters of the enterprise GVB-SPES BV.
10. Commitments of the contract
The conditions of the orderer, which are with these conditions in contradiction, are noncommittal for us also if GVB-SPES BV. Contradicted contents not expressly. The contract remains obligatory with its effect, also with legal inefficacy of individual points, in its remaining sections.
